Summary

The Senior Paralegal assists attorneys in providing advanced legal services for the Impact, Finance and Markets Team and other global strategies, ensuring transactions are legally sound and consistent with TNC’s mission. This role involves reviewing and analyzing legal documents, managing document version control, and coordinating legal projects for impact investing, conservation transactions, and regulatory compliance.

The Senior Paralegal supports attorneys by providing advanced legal and project coordination services for The Nature Conservancy's (TNC) Impact, Finance and Markets Team and other global initiatives. Working with minimal supervision, this role manages legal documentation, coordinates complex transactions, ensures regulatory compliance, and helps mitigate organizational risk while supporting TNC's conservation mission.

Key Responsibilities

  • Review and analyze legal documents, including contracts, NDAs, and transaction-related agreements, escalating matters to attorneys when needed.

  • Draft legal agreements, governance documents, memoranda, and correspondence for attorney review.

  • Coordinate legal projects involving impact investing, conservation transactions, corporate governance, contracts, and regulatory compliance.

  • Maintain legal files, document version control, and records management systems.

  • Monitor compliance with legal obligations, organizational policies, and contractual commitments while advising staff on compliance requirements.

  • Serve as a liaison between attorneys, business units, and external stakeholders.

  • Support attorneys with scheduling, meeting preparation, document organization, and administrative coordination.

  • Assist with legal training initiatives and mentor junior paralegals, legal support staff, and volunteers.

  • Lead or contribute to cross-functional legal and departmental projects.

Required Qualifications

  • Bachelor's degree plus 5+ years of combined legal and administrative experience, or an equivalent combination of education and related experience.

  • Experience supporting transactional legal work, including corporate governance matters.

  • Project management experience, including leading cross-functional projects or project management certification.

  • Experience conducting legal research using online legal resources.

  • Proficiency with Microsoft Office, SharePoint, iManage, document management systems, and AI-enabled productivity tools.

  • Strong written and verbal communication, analytical, problem-solving, and critical thinking skills.

  • Experience drafting and editing legal documents, templates, checklists, and guidance materials.

  • Excellent organizational, time management, project tracking, and multitasking abilities.

Preferred Qualifications

  • Experience with complex corporate finance and transactional matters.

  • Knowledge of impact investing, climate, conservation, or environmental initiatives.

  • Multilingual abilities and multicultural experience.
